The scope of services and the specific deliverables for each project will be outlined in a separate agreement or proposal. By signing such agreements, you acknowledge and accept the terms outlined here.
2. Payment and Fees

All fees for services provided will be outlined in the project proposal or agreement.

Services requiring online payment - website design services - are paid in full by the client before the start of the project work. For others, payment terms will be defined in the individual contract, typically requiring an upfront deposit with the balance due upon completion or on a set schedule.

Invoices will be sent to the Client, and payment must be made promptly by the due date.

Late payments may be subject to a late fee or interest, as specified in the contract.
3. Confidentiality
Both parties agree to maintain confidentiality regarding any proprietary or sensitive information shared during the course of working together. This includes financial details, and any other data exchanged in relation to services provided.
4. Intellectual Property

The intellectual property rights of any materials created by Red Color Crayon during the engagement (e.g., designs, written content, etc.) will remain with the Agency until payment is received in full.

Once payment is complete, the Client will own the intellectual property rights to the final work produced.

The Client grants Red Color Crayon permission to use the results of the work for promotional purposes, including showcasing the work in marketing materials or on our website, unless otherwise agreed upon.

5. Client Responsibilities

The Client agrees to provide timely and accurate information needed for the successful completion of the project.

The Client is responsible for obtaining all necessary rights and permissions for any content or materials provided to Red Color Crayon for use in the project (e.g., logos, images, trademarks).

The Client must comply with all relevant laws and regulations in relation to their digital marketing activities.
6. Revisions and Changes

The scope of work, deliverables, and deadlines will be outlined in the project proposal or contract. Any changes to the original project may incur additional fees or require an updated timeline.

Minor revisions to the work will be included within the scope of the original agreement, but major revisions or new requests may be subject to additional charges.
7. Termination

Either party may terminate the agreement at any time, provided written notice is given.

If the Client terminates the contract before completion, the Agency will retain the right to invoice for any work completed up to the point of termination.

If the Agency terminates the contract due to non-payment or breach of agreement by the Client, the Client will still be liable for payment for any work completed up to that point.
8. Limitation of Liability
Red Color Crayon will make every reasonable effort to provide high-quality services, but we are not liable for any indirect, incidental, or consequential damages resulting from the use of our services. The Client agrees that our liability is limited to the amount paid for the specific service in question.
9. Governing Law
These Terms will be governed by and construed in accordance with the laws of [Your Location/State]. Any legal disputes arising from the use of our services will be resolved in the appropriate courts of [Your Location/State].
10. Changes to Terms and Conditions
